General provisions

The contract is concluded with the company IMMEHR GmbH, GmbH, Auf der Schwarz 38 56427 Siershahn. The deliveries and services of the company IMMEHR GmbH, hereinafter referred to as the seller, are subject in their entirety exclusively to the conditions set out here, both domestically and abroad. Deviations require the approval of the management and can only be made in writing.

Conclusion of contract

The offers are non-binding and subject to confirmation in order to be effective. Delivery and invoicing are equivalent to confirmation and are always made in writing. The buyer is bound to the order for goods that are not in stock or in stock and for a financed purchase. A contract is concluded when it is signed by both parties or the seller accepts an advance payment on the purchase price. If the buyer withdraws from the purchase contract within 14 days, compensation of 45% of the purchase price must be paid. If the cancellation occurs between the 15th day and 1 month, the buyer must pay 60% of the purchase price as payment, after which the purchase price must be paid as compensation. Returns are not permitted for so-called retail stores. For home visits and sales with a prior appointment, cancellation is excluded in accordance with Section 312g of the German Civil Code.

Prices

The prices are gross prices including statutory VAT. They apply equally to end customers and dealers or resellers. The purchase price is due at the latest upon receipt, unless otherwise agreed. The goods remain the property of the seller until full payment has been made. For shipping, the prices always include the costs for packaging, shipping and freight insurance. The prices are announced in advance.

Place of delivery

The place of delivery is the delivery address agreed in the purchase contract. Delivery takes place under the delivery conditions agreed in the purchase contract. In all other cases, delivery takes place to the buyer’s first entrance door. The buyer must ensure that proper delivery (e.g. reservation of 2 parking spaces, necessary permits from the city, etc.) and assembly, if necessary, can be carried out. Any costs incurred are always borne by the buyer.

Delivery conditions

The delivery time by the seller is based on the usual market conditions and depends on the manufacturer. If the seller cannot meet the agreed delivery deadline, the buyer must grant a reasonable grace period – starting from the day of receipt of the written notice of default by the buyer, or in the case of calendar-based delivery deadlines, upon their expiry. If the seller does not deliver by the expiry of the grace period set, the buyer can withdraw from the contract or, in the case of partial delivery, from parts of the contract. Disruptions in the business operations of the seller or its suppliers for which the seller is not responsible, in particular strikes and lawful lockouts, as well as cases of force majeure based on an unforeseeable and unavoidable event, extend the delivery time accordingly.

The buyer is only entitled to withdraw if, in these cases, he sends a written reminder for delivery after the agreed delivery period has expired and the delivery is not made within a reasonable grace period to be set after the seller receives the buyer’s reminder letter. In the case of delivery periods set by calendar, the grace period to be set begins when the deadline expires. The statutory provisions on compensation instead of performance remain unaffected. Delivery dates for buyers are subject to change and are only binding if they are set as fixed dates in writing. The suppliers or fitters are entitled to collect payments. Cash payment is accepted against proof of receipt. The buyer receives a corresponding receipt.

Assembly

Assembly is carried out as agreed and is specified in the purchase contract. The seller, in this case the assembly staff, has concerns about the suitability of the walls for assembling hanging furnishings, he must inform the buyer of this immediately. Special, additional work agreed upon that is not included in the purchase contract will be invoiced separately. It is due and therefore payable at the latest upon handover or acceptance by the customer. This also includes additional work requested by the customer. The seller’s employees are not authorized to carry out work that goes beyond the seller’s contractual obligations. If such work is nevertheless carried out by the seller’s employees at the buyer’s request, this does not affect the contractual relationship between the seller and the buyer.
